Buying a business in Bristol

The South West had the highest five-year business survival rate of any UK region at 43.5 per cent, and the lowest business birth rate at 9.6 per cent. Read together those describe a steadier market than the North or London: fewer new competitors each year, and fewer businesses coming to market, which matters as much when you sell as when you buy.

The South West is the steadiest business market in the UK on the published measures, and steadiness is a genuine advantage with a genuine cost attached.

Five-year survival rate for South West businesses born in 2019, the highest of any UK region against a 38.4 per cent UK average. The region also had the LOWEST business birth rate in 2024, at 9.6 per cent, and a death rate of 9.1 per cent.

A high survival rate and a low formation rate describe the same thing from two directions: a market that churns less.

For a buyer that is mostly good. Fewer new competitors arrive in your trade each year. The businesses that exist have, on average, been there longer. The customer relationships you are buying are less likely to be tested by somebody new opening down the road next spring.

The cost is supply. A lower-churn market produces fewer businesses coming to market in any given year, which means the search takes longer. Registering your criteria with several business transfer agents matters more here than it does in Manchester, because a larger share of what sells never reaches a portal.

And it is worth thinking about your own exit before you buy. The same shallow supply means a shallower buyer pool when you come to sell. If your plan assumes a competitive process in five years, test that assumption now rather than then.

These are regional figures. The ONS does not publish them at city level, so this is the South West rather than Bristol.

What actually trades

  • Engineering and precision manufacturing. The aerospace and defence cluster supports a long tail of machining, testing, tooling and specialist service businesses, and those trade to private buyers. They carry real plant, which is valued alongside the trade rather than inside the multiple, and which a lender can secure against. They also frequently carry serious customer concentration: a business with one prime contractor at half its revenue is a common shape here and is always the first question.
  • Technology and creative. Software, digital agencies, animation and media. Agencies trade regularly and are almost always a concentration question too.
  • Professional and B2B services. Accountancy, recruitment, IT support, consultancy. The deepest category by deal count anywhere, and the most transferable earnings.
  • Hospitality and leisure. Substantial, and with a tourism-driven seasonal component in parts of the wider region that an annual revenue figure will hide.
  • Health and care. Dental, veterinary and care services, with genuine regulatory barriers and repeat acquirers.

The things that decide a Bristol deal

Customer concentration, more than most places

A cluster economy produces businesses whose revenue comes from a small number of large customers in that cluster. That is efficient and it is fragile.

Work out the percentage before anything else. Then ask the questions that matter more than the number: how long the relationship has run, how many people at the customer's end value it, whether it is contracted and for how long, whether the contract has a change of control clause, and what happened the last time it went out to tender.

A change of control clause is the specific hazard. It lets your largest customer terminate when the business is sold, which turns your largest revenue line into the reason the deal fails. Find it before the buyer does, and seek a waiver.

The lease and the rates

Read the lease in full: unexpired term, whether it is inside or outside the security of tenure provisions of the Landlord and Tenant Act 1954, the rent review pattern, and whether a change of control needs the landlord's consent.

Rateable values for commercial property in England are public on the Valuation Office Agency's site. Look yours up before the first meeting rather than trusting the figure you were given.

Whether the technical capability transfers

In an engineering or software business the constraint is rarely the owner alone. It is the two or three people who can actually do the work.

Under TUPE they transfer on existing terms with continuity of service intact. The risk is not the transfer, it is retention afterwards, and it is worth asking what has kept them so far.

The lower-churn market, when you are the one selling

Worth thinking about before you buy rather than in five years.

The supply picture that makes the search slow also makes the eventual sale less competitive. A shallower buyer pool means fewer simultaneous offers and less pressure on a buyer to move quickly, which is the mechanism that produces a good price. It does not mean a bad outcome. It means the outcome depends more on how well the business is prepared and less on how many people happen to be looking.

What a buyer will test hardest here is concentration.
